1. Agreement
These Terms of Service (“Terms”) are an agreement between Layap Infotech Private Limited, CIN U72900HR2016PTC065513, 1071, Sector-47, Gurgaon, Haryana, India, 122001 (“Layap Infotech”, “we”, “us”) and the business that signs up for or uses i-Connect (“Customer”, “you”). By creating an account, signing an order form, or using i-Connect, you agree to these Terms on behalf of your business, and you confirm that you are authorised to do so. If an order form or a separate signed agreement conflicts with these Terms, that document wins.
2. Definitions
- “Service” means the i-Connect software, the application at app.i-connect.world, hosted forms and links, and related support.
- “Users” means the people you invite to use the Service on your behalf.
- “Contacts” means the people you message or receive messages from through the Service.
- “Customer Data” means the data you or your Users put into the Service, including Contacts' data and message content.
- “Plan” means the subscription, limits and features you have bought, as stated in your order form or in the Service.
3. The service
We provide the Service as described on our website and in the application, and may improve and change it over time. We will not materially reduce the core functionality of your Plan during a paid billing period. Features marked “Coming soon” are not part of the Service until we make them available. We will use reasonable efforts to keep the Service available, but it depends on third parties, especially Meta, and on the internet, which we do not control.
4. Accounts and access
- You are responsible for your Users, for the roles you give them, and for everything done under your account.
- Keep passwords and two-factor devices secure, and tell us at once at support@i-connect.world if you suspect unauthorised access.
- Users must be at least 18 years old and must give accurate information.
- Our support staff may access your organisation only to provide support or keep the Service secure. Such access requires a reason, is time-limited and is recorded in your audit log.
5. Your responsibilities
You agree that you will:
- use the Service only for lawful business purposes and in line with our Acceptable Use & Messaging Policy, which forms part of these Terms;
- obtain and record valid consent (opt-in) from each Contact before sending them business-initiated messages, give them the notice the law requires, and honour opt-outs immediately;
- be the Data Fiduciary for your Contacts' data and comply with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, telecom and consumer protection laws, and any other law that applies to your messages;
- be responsible for the content of your messages, templates, forms and Flows, and for any claims you make in them; and
- not upload lists you are not entitled to use, or try to get around the Service's consent, opt-out, rate or security controls.
6. WhatsApp and Meta
The Service uses the Official WhatsApp Business Platform (Cloud API) provided by Meta. To use it you need your own WhatsApp Business Account and phone number, and you must accept and follow Meta's terms and policies, including the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy. Meta may review, restrict or suspend your account, number, templates or messaging limits; we cannot override Meta's decisions.
Meta's charges for messages are billed by Meta directly to your WhatsApp Business Account and are not part of our fees. Cost estimates shown in the Service are estimates only. i-Connect is not affiliated with, endorsed or sponsored by Meta Platforms, Inc. or WhatsApp LLC.
7. Fees and payment
- You will pay the fees for your Plan as shown on our pricing page when you subscribe, in your order form, or in the Service. Fees are in Indian rupees and exclude GST and other taxes, which are added as applicable.
- If you sign up on our website, your Plan starts with a free trial. You add a card to start it; unless you cancel before the trial ends, the first payment is taken when it ends. The trial, any launch offer and how to cancel are described in our Refund & Cancellation Policy.
- Subscriptions are billed in advance for each billing period (monthly or yearly) and renew automatically until cancelled. Online payments are processed by Razorpay, which may store your card or payment mandate to take renewal payments.
- A launch offer applies only for the number of payments it states; after that, the usual price for your Plan applies.
- We may change our prices for future billing periods with at least 30 days' notice. The change will not affect a period you have already paid for.
- If payment is overdue, we may, after giving you notice, limit or suspend the Service until it is paid.
- Refunds and cancellations are governed by our Refund & Cancellation Policy.
8. Term, cancellation and suspension
- These Terms apply while you use the Service. You may cancel your subscription at any time; it ends at the end of the current billing period.
- We may suspend all or part of the Service immediately if your use breaches the Acceptable Use & Messaging Policy, puts other customers, our Meta standing or the Service at risk, or if the law or Meta requires it. Where it is reasonable to do so, we will tell you first and give you a chance to fix the problem.
- We may end these Terms if you materially breach them and do not fix the breach within 15 days of our notice, or immediately for serious or repeated breaches of the Acceptable Use & Messaging Policy.
- After the account ends, you may ask us to export your Customer Data within 30 days. To have it deleted, follow our Data Deletion Instructions. We keep only what those instructions list and what the law requires.
9. Your data and data protection
You own your Customer Data. You give us the right to host, process and transmit it only to provide, secure and support the Service for you, and as the law requires. For Contacts' personal data, you are the Data Fiduciary and we act as your Data Processor: we process it only on your documented instructions (which these Terms and your use of the Service set out), keep it confidential, protect it with reasonable security safeguards, use only the sub-processors listed in our Privacy Policy, help you respond to Contacts' requests, tell you without undue delay about a personal data breach affecting your data, and delete it when the Service ends. Our Privacy Policy describes how we handle the personal data of Users.
10. Confidentiality
Each of us will keep the other's non-public information confidential, use it only for the purposes of these Terms, and protect it with at least reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with notice to the other party where allowed).
11. Intellectual property
We own the Service, including its software, design and the i-Connect name and logo. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business while your subscription is active. You may not copy, resell, reverse engineer or build a competing product from the Service. If you send us feedback, we may use it freely.
12. Warranties and disclaimers
We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided “as is”. We do not promise that it will be uninterrupted or error-free, that any message will be delivered, read or answered, or that Meta will approve any account, number or template, and we are not responsible for Meta's services or decisions.
13. Limitation of liability
To the extent the law allows: neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data; and our total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees you paid us for the Service in that period. These limits do not apply to your payment obligations, your breach of the Acceptable Use & Messaging Policy, a party's fraud, or liability that cannot be limited by law.
14. Indemnity
You will indemnify Layap Infotech against claims, penalties and reasonable costs arising from your messages and content, your lack of consent from a Contact, or your breach of these Terms, the Acceptable Use & Messaging Policy, Meta's policies or the law.
15. Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any dispute by good-faith discussion. If that fails within 30 days, the courts at Gurugram, Haryana have exclusive jurisdiction.
16. General
- Changes: we may update these Terms. We will give at least 30 days' notice of material changes by email or in the Service; continuing to use the Service after that means you accept them.
- Notices: we send notices to the account owner's email address; you send notices to legal@i-connect.world.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control, including failures of Meta, telecom networks or hosting providers.
- Assignment: you may not transfer these Terms without our consent; we may transfer them to a successor of our business.
- Entire agreement: these Terms, the policies they refer to and any order form are the whole agreement between us. If a part is unenforceable, the rest still applies. Not enforcing a right is not a waiver of it.
